PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Site, you agree to be bound by these Terms of Service. If you do not agree, do not use the Site. Section 18 contains an arbitration clause and class action waiver that affect your legal rights.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at https://www.phillysportspack.com and all associated pages, features, content, and services (collectively, the "Site" or "Services"), operated by PhillySportsPack.com ("PSP," "we," "us," or "our").

By accessing or using the Site in any manner — including browsing, creating an account, submitting content, or using any feature — you represent that you are at least 13 years of age and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must immediately discontinue your use of the Site.

2. Description of Service

PhillySportsPack.com is an editorial database and media platform dedicated to preserving and celebrating the history of Philadelphia-area high school athletics. The Site provides:

PSP reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, and without liability to you.

3. User Accounts

3.1 Registration

Certain features of the Site require you to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You must be at least 13 years old to create an account. Users under 18 should have parental or guardian consent.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at mwallace35@gmail.com if you become aware of any unauthorized use of your account. PSP will not be liable for any loss or damage arising from unauthorized use of your credentials.

3.3 Account Termination

You may delete your account at any time through your account settings or by contacting us. We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Site immediately ceases.

4. Intellectual Property

4.1 PSP Content

The Site and all of its content, features, and functionality — including but not limited to the database structure, editorial articles, graphics, design, software, text, images, audio and video clips, data compilations, and the selection and arrangement thereof (collectively, "PSP Content") — are owned by PhillySportsPack.com or its licensors and data contributors, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may access and use PSP Content for your personal, non-commercial use only. Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any PSP Content without prior written permission from PSP.

4.2 Data Attribution

A substantial portion of the historical athlete data contained in the PSP database was compiled by Ted Silary and made available to PSP for use on this Site. Such data remains subject to all applicable intellectual property rights. Any reproduction or republication of this data outside the Site requires the separate consent of the applicable rights holder(s).

4.3 Trademarks

"PhillySportsPack," "PhillySportsPack.com," "PSP," and associated logos are trademarks or service marks of PhillySportsPack.com. You may not use these marks without prior written permission from PSP. All other trademarks, service marks, and trade names referenced on the Site are the property of their respective owners.

4.4 Prohibited Uses

Without limiting the foregoing, you expressly agree not to:

5.1 Your Content

"User Content" means any content you submit, post, upload, or otherwise make available through the Site, including comments, corrections, player nominations, poll responses, and profile information.

5.2 License to PSP

By submitting User Content, you grant PSP a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content in any media formats and through any media channels, in connection with the operation and promotion of the Site.

5.3 Your Representations

You represent and warrant that: (a) you own or control all rights to your User Content; (b) your User Content does not violate any applicable law or these Terms; (c) your User Content is accurate to the best of your knowledge; and (d) your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.

5.4 Prohibited Content

You agree not to post User Content that:

PSP reserves the right, but has no obligation, to monitor, edit, or remove any User Content at our sole discretion and without notice. We are not responsible for User Content posted by users.

6. Information About Real Persons and Athletes

6.1 Editorial Purpose

PSP's database is maintained for editorial, educational, historical, and public interest purposes. The recording and publication of athletes' names, statistics, career information, and biographical details drawn from public records is protected under the First Amendment as newsworthy and educational content. PSP does not imply endorsement by any athlete, coach, or school of PSP or any products or services advertised on the Site.

6.2 Accuracy

While we strive for accuracy, we cannot guarantee that all information in the database is complete or error-free. Statistical records and biographical information are compiled from third-party sources, and we make no warranty regarding their accuracy. We encourage users with corrections to contact us at mwallace35@gmail.com.

6.3 Correction and Removal Requests

Athletes, coaches, or their authorized representatives may submit requests to correct factual inaccuracies by emailing mwallace35@gmail.com with the subject line "Athlete Data Correction." We will review and respond to good faith requests within a reasonable time. PSP is not obligated to remove accurate historical information from its editorial database.

7. Third-Party Content and Services

The Site may display content aggregated from third-party news sources, social media platforms, and sports data providers. Such content is provided for convenience and informational purposes only. PSP does not endorse, control, or take responsibility for third-party content, and you access it at your own risk.

The Site may contain links to third-party websites. Those websites are governed by their own terms of service and privacy policies. PSP has no control over and assumes no responsibility for the content, privacy practices, or availability of any third-party websites.

8. Community Standards and Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

PSP may display advertisements from third-party advertising networks or direct advertisers. Such advertisements are clearly labeled. PSP does not endorse any advertiser's products or services. Advertisers are solely responsible for the accuracy of their advertisements and compliance with applicable advertising laws.

If you are an advertiser, you agree that your advertising content complies with all applicable laws, does not infringe any third-party rights, and is not false or misleading. PSP reserves the right to reject or remove any advertising at its sole discretion.

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

11. Digital Millennium Copyright Act (DMCA)

11.1 Reporting Infringement

If you believe that content on the Site infringes your copyright, you may send a written DMCA notice to our designated agent at mwallace35@gmail.com with the subject line "DMCA Notice." Your notice must include:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it;
  4. Your name, address, telephone number, and email address;
  5. A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law; and
  6. A statement, made under penalty of perjury, that the information in your notification is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

11.2 Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice to mwallace35@gmail.com with the subject line "DMCA Counter-Notice" containing the required information under 17 U.S.C. § 512(g)(3).

11.3 Repeat Infringers

PSP will terminate the accounts of users who are determined to be repeat copyright infringers in appropriate circumstances.

12. Disclaimer of Warranties

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, PSP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PSP DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PSP DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE SITE, INCLUDING STATISTICAL DATA, PLAYER INFORMATION, OR NEWS CONTENT.

YOUR USE OF THE SITE AND ANY CONTENT OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. NO INFORMATION OBTAINED FROM THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PSP, ITS OPERATORS, EMPLOYEES, CONTRACTORS, DATA CONTRIBUTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, ANY CONTENT ON THE SITE, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PSP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL PSP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO PSP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, PSP's liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless PSP and its operators, employees, contractors, data contributors, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right, including any intellectual property right, privacy right, or right of publicity; or (e) any claim that your User Content caused damage to a third party.

15. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Subject to Section 16 (Dispute Resolution), you consent to the personal jurisdiction of the state and federal courts located in Philadelphia County, Pennsylvania, for any matters not subject to arbitration.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact PSP at mwallace35@gmail.com and attempt to resolve the dispute informally. PSP will try to resolve the dispute within 30 days of receiving notice.

16.2 Binding Arbitration

If we cannot resolve the dispute informally, you and PSP agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services — except for claims for injunctive or equitable relief — shall be resolved by binding arbitration before a single arbitrator under the American Arbitration Association's Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in Philadelphia, Pennsylvania, or at another mutually agreed location. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND PSP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. UNLESS BOTH YOU AND PSP AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

16.4 Exception for Small Claims

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

17. Modifications to Terms

PSP reserves the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Site or by sending an email to the address associated with your account at least 14 days before the changes take effect (or immediately if required by law). Your continued use of the Site following the effective date of any modification constitutes your acceptance of the revised Terms.

If you do not agree to the modified Terms, you must discontinue use of the Site and may delete your account.

18. General Provisions

18.1 Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and PSP regarding your use of the Site and supersede all prior agreements, understandings, or representations relating thereto.

18.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

18.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a continuing waiver of such term or any other term, and PSP's failure to assert any right under these Terms shall not constitute a waiver of such right.

18.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without PSP's prior written consent. PSP may freely assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law. These Terms will be binding upon and inure to the benefit of the parties and their permitted assigns.

18.5 Force Majeure

PSP shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, governmental actions, internet outages, or third-party service provider failures.

18.6 No Third-Party Beneficiaries

These Terms are for the benefit of PSP and its users only. Nothing in these Terms shall confer any rights or remedies on any third party.
